In-Person Nondisclosure Agreement

Signed before an in-person visit to our home.

Section 1: PURPOSE

Lilac Blossom Yorkies, owned and operated by Tara Williams of Walden, New York (the "Breeder"), welcomes visitors to its home. In exchange for being allowed to visit, the person named on this form (the "Visitor") agrees to keep private what the Visitor sees and learns during the visit, as described below.

Section 2: CONFIDENTIAL INFORMATION

"Confidential Information" means everything the Visitor sees, hears or learns about the Breeder's home, property and kennel, including the address and layout, security and health practices, how the dogs and puppies are housed and cared for, breeding plans, pedigrees and health records that are not published on the Breeder's website, prices and terms offered to other customers, and the names and details of the Breeder's other customers, visitors and dogs.

Section 3: WHAT THE VISITOR AGREES TO

The Visitor will use Confidential Information only to decide whether to buy or reserve a dog from the Breeder. The Visitor will not share it with anyone else, and will not use it to compete with the Breeder or to copy the Breeder's program.

Section 4: NO PHOTOS, VIDEO OR RECORDINGS

The Visitor will not take photographs, video or audio recordings of the home, the property, the other dogs, or other people, and will not post anything about the visit online, unless the Breeder gives permission first. Any photo or video the Breeder allows of a specific puppy may be used only for the Visitor's personal use.

Section 5: VISITING THE DOGS

The Visitor will follow the Breeder's instructions during the visit, including how and when to handle puppies and dogs, washing or sanitizing hands, and keeping to the areas the Breeder shows. To protect the health of young puppies, the Visitor will not bring any other animal to the visit and will tell the Breeder if the Visitor has recently been around sick dogs.

Section 6: RISK AND RELEASE

The Visitor understands that dogs can be unpredictable and visits to a home carry some risk. To the fullest extent permitted by law, the Visitor releases the Breeder and the Breeder's family from claims for injury or loss to the Visitor, or to anyone the Visitor brings, during the visit, except for harm caused by the Breeder's gross negligence or intentional misconduct.

Section 7: INFORMATION THAT IS NOT CONFIDENTIAL

Information is not confidential if it is already public through no fault of the Visitor, was already known to the Visitor before the visit, or must be disclosed by law (in which case the Visitor will tell the Breeder first where the law allows).

Section 8: HOW LONG THIS LASTS

The Visitor's duty to keep Confidential Information private continues after the visit for as long as the information remains non-public.

Section 9: REMEDIES

The Visitor understands that sharing Confidential Information could harm the Breeder in ways money cannot repair, so the Breeder may ask a court to order the Visitor to stop, in addition to any other remedy the law provides.

Section 10: GOVERNING LAW AND VENUE

This agreement is governed by the laws of the State of New York. Any legal action will be brought only in the county where the Breeder resides.

Section 11: AGREEMENT TO TERMS

This is the entire agreement about the visit. By signing, the Visitor agrees to all of the terms in sections 1-11.

By typing or drawing a signature below, the signer confirms they have read and understood this entire Nondisclosure Agreement, that they are signing it voluntarily, and that an electronic signature is as binding as a handwritten one. A copy of the signed agreement will be sent to the email address entered on this form.
